Pursuant to article 24 (2) (b) of statutory law 3461/2006 Mr. Dimitrios Papalexopoulos represents that on 22.01.2019 he acquired 1.986.676 voting rights in TITAN Cement Company S.A. ("TITAN"), which represent approximately 2.58% of TITAN's total voting rights, due to the lifting of the existing usufruct on a respective number of ordinary TITAN shares by the usufructuaries, Theodoros Papalexopoulos and Maria-Eleni Olga Papalexopoulou, in a total consideration of 4.052.819,04 Euros.

This acquisition was carried out in order for Mr. Dimitrios Papalexopoulos to be able to tender lawfully and validly all the TITAN shares he owns in accordance with the terms of the voluntary tender offer of Titan Cement International S.A. for the acquisition of ordinary and preferred shares of TITAN (the "Tender Offer").

Following this lifting and the transactions which Mr. Leonidas Kanellopoulos, Mrs. Alexandra Papalexopoulou and Ms. Eleni Papalexopoulou conducted on the above date, who are “persons acting in concert” both among themselves, as well as with Andreas Canellopoulos, Nellos - Panagiotis Canellopoulos, Pavlos Kanellopoulos, Takis - Panagiotis Canellopoulos, Dimitrios Papalexopoulos and Titan Cement International S.A. for the purposes of the Tender Offer, the percentage of TITAN's voting rights held by Mr. Dimitrios Papalexopoulos and all the above persons as a result of acting in concert was approximately 24.72%, from 18.60% that was on 18.10.2018.
