Subject: Notification of significant change in shareholding pursuant to Law  3556/2007

Titan Cement Company S.A. (“TITAN” ) announces, pursuant to Law 3556/2007  and after relevant notification received on 19/7/2019 from  EDYVEM LTD (Hellenic Construction Materials, Industrial, Commercial Transportation Public Company LTD),  (a “EDYVEM”), legal entity closely associated with Mr. Andreas Canellopoulos, that :

The acceptance period of the voluntary tender offer (the “Tender Offer”) that TCI made to acquire all TITAN ordinary and preference shares that TCI did not hold, directly or indirectly, in accordance with Law 3461/2006 and as set out in the Tender Offer information circular of TCI, ended on July 17, 2019.

As a result of the above, EDYVEM in the framework of the Tender Offer transferred to TCI its shares and therefore its percentage of the voting rights in TITAN was nullified.
