The Annual General Meeting of Shareholders of the Titan Cement Company S.A., which was held on 20th June 2014, approved the distribution of extraordinary reserves of a total amount of   € 8,463,252. 80 , corresponding to  €0.10 per common and preferred share. Such amount increased by the sum corresponding to treasury shares held by the Company amounts in total to  €0.10359 per share. 
The above distribution is subject to a 10% withholding tax on behalf of every shareholder. Therefore Shareholders will receive a net amount of € 0.09323 per share.

The Cut-off Date (i.e. the date from which the Company's shares will be traded on the Athens Exchange without the right to receive the reserve distribution) was set on  Wednesday, 25th June 2014. 
The Record Date (i.e. the date on which those registered as shareholders in the electronic registry of the Dematerialized Securities System will have the right to receive the aforesaid reserve distribution) was set on  Friday, 27th June 2014.  
The Payment Date (i.e. the date when the reserve distribution will commence) was set on Thursday, 3rd July 2014.  

Payment will be made in accordance with paragraph 4.1.3.4 of the ATHEX Rulebook and Article 39 of the DSS Rulebook by ALPHA BANK (Payer Bank) as follows:

1. To the Operators (Custodians and Securities firms) of the beneficiary Shareholders, provided that they have been granted the relevant right by the Shareholder.  
2. Τo the Shareholders who keep their shares with the Hellenic Exchanges S.A. or have not authorized their Operator or have recalled such authorization, through the branch network of Alpha Bank, by presenting their ID, as well as their particulars in the Dematerialized Securities System. 
3. The reserve distribution may be also collected by an authorized third person. Such person must present, apart from the above documents, an authorization of the beneficiary Shareholder, with the authenticity of the Shareholder’s signature verified by the Police or any other competent Authority.
