Trading in the Athens Exchange of new shares after share capital increase due to exercise of stock option rights
 

Titan Cement Company S.A. announces that the trading οn the Athens Exchange of 47.370 new common registered shares with voting rights of the Company, starts on January 17th, 2008. These shares were issued in accordance with the recent share capital increase of Euro 94.740, due to the exercise by 60 senior executives of the Company and its affiliate companies, including 5 members of the Company’s Board of Directors, of stock option rights for 47.370 common shares of the Company, of a nominal value of € 2 each, against a purchase price of a) € 14.68 per share for 8,000 shares offered in accordance with the 2000 Stock Option Plan, b) € 2 per share for 39,370 shares offered in accordance with 2004 Stock Option Plan, which have been approved by decisions of the Annual General Meetings of Shareholders dated 5.7.2000, 19.6.2002 and 8.6.2004. 
 

The above mentioned share capital increase, which does not constitute an amendment of the Articles of Association of the Company, was decided and verified by the Board of Directors of the Company on 17.12.2007 and thereafter registered with the Registry of Societes Anonymes by decisions K2-18223 and K2-18223 (bis)/ 21.12.2007 of the Ministry of Development.
 

The trading on the Athens Exchange of the above mentioned 47.370 shares was approved by the Board of Directors of the Athens Exchange on 10/1/2008.
 

According to the decision of the Board of Directors of the Company, the new shares will be negotiable on the Athens Exchange as of January 17th 2008. On the above mentioned date the opening price of the shares of the Company will be formed according to the Athens Exchange Regulation and the new shares will have been deposited in the investor and securities accounts of their beneficiaries in the Dematerialized Securities System (D.S.S.).
