Titan Global Finance exchange offer to holders of its Euro 200,000,000 guaranteed notes due July 2013

Titan Global Finance PLC (TGF), a subsidiary of Titan Cement Company S.A., has announced today to the Luxembourg Stock Exchange an invitation to the holders of its Euro 200,000,000 6.90% guaranteed notes due July 2013 (the Existing Notes) to exchange any or all of such Existing Notes on a nominal for nominal basis for new Euro- denominated Fixed Rate Guaranteed Notes due January 2017 (the New Notes).  TGF may also issue New Notes to new investors for subscription for cash. The minimum New Notes coupon is 8.75%.  As with the Existing Notes, the New Notes will be guaranteed by Titan Cement Company S.A. and will be admitted to trading on the Luxembourg Stock Exchange.

The rationale for the exchange offer and the issuance of New Notes is the partial refinancing of the existing debt of TGF in the framework of Titan Group’s long term financial strategy.

Alpha Bank A.E., Eurobank Ergasias S.A. and Credit Suisse Securities (Europe) Limited will act as Joint Dealer Managers and Lucid Issuer Services Limited as the Exchange Agent.
The final exchange acceptance and issue amount is expected to be announced on December 17th, 2012.
